1. Acceptance of the Resilience Covenant

These Terms of Service constitute a legally binding contract between you (the “Reader” or “Subscriber”) and Genius Marketing FZ, conducting business as Genius Energy (“Publisher,” “We,” or “Us”), a company incorporated in Dubai, United Arab Emirates. By accessing our grid-vulnerability analysis, off-grid installation guides, website, or SMS alerts, you agree to these Terms and our Privacy Policy, incorporated by reference. If you do not accept these Terms in their entirety, you must discontinue use and unsubscribe.

2. Intellectual Property and Network Integrity

All survival blueprints, energy market analyses, and operational guides published by Genius Energy are the exclusive intellectual property of Genius Marketing FZ.

  • Limited License: We grant you a revocable, non-transferable, non-exclusive license to use our research strictly for your personal, non-commercial preparations.
  • Prohibited Acts: You are forbidden from syndicating, reselling, or mass-distributing our proprietary content. The deployment of automated scraping tools, data-extraction bots, or malicious payloads against our infrastructure is strictly prohibited. You agree to access our network solely for lawful purposes.

3. Multi-Threat Disclaimer: Financial and Physical Risk

WARNING — Implementing alternative energy, power, or water systems carries severe risks of electrocution, fire, property damage, or bodily harm. We are NOT licensed electricians, structural engineers, or emergency responders. Implementing alternative energy systems or water-filtration setups carries severe risks of electrocution, fire, property damage, or bodily harm. You must consult licensed professionals before installing any physical infrastructure discussed in our materials.

3.2 Not Financial or Investment Advice

We analyze grid failures and the potential of independent energy and utility equities. We are NOT registered broker-dealers or investment advisors, and are not registered with the SEC, FINRA, the UAE Securities and Commodities Authority (SCA), or any other regulatory body. Our market commentary is educational only, does not constitute a solicitation, offer, or personalized recommendation to buy or sell any security, and creates no fiduciary relationship.

3.3 Capital Loss Warning

Financial markets, particularly those tied to energy commodities and alternative-utility equities, are inherently volatile. Engaging in these markets carries the risk of total capital depletion. 3.4 No Warranties; Accuracy

4. Absolute Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PUBLISHER, ITS PARENT ENTITY, AND ITS EXECUTIVES DISCLAIM ALL LIABILITY FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF OUR CONTENT. THIS EXPLICITLY COVERS PHYSICAL INJURY, PROPERTY DAMAGE FROM FAULTY EQUIPMENT, TRADING LOSSES, OR DATA INTERRUPTIONS, EVEN IF WE HAVE BEEN ADVISED OF THE LIKELIHOOD OF SUCH DAMAGES. YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR PHYSICAL AND FINANCIAL PREPARATIONS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

5. Vendor Relations and Hardware Affiliates

5.1 Affiliate Offers

In accordance with the FTC Endorsement Guides (16 C.F.R. Part 255), we disclose that to fund our research, we curate and distribute relevant offers from third-party manufacturers (“Advertisers”) specializing in solar batteries, multi-fuel generators, and water-autonomy systems. We may earn compensation (CPA, CPL, or sponsorships) when you interact with these external campaigns.

5.2 Your Due Diligence

We do not conduct safety audits or verify the regulatory compliance of third-party Advertisers. The burden of verifying the safety, warranty, and legality of any third-party hardware or financial platform rests entirely upon you. We accept no liability for defective equipment or losses incurred through third-party vendors linked within our communications.

6. Communications Consent and TCPA Mandates

By entering your contact credentials, you authorize the Publisher to deliver digital communications.

6.1 Email Transmissions

You agree to receive macro-energy reports, blackout-preparation guides, and vetted promotional hardware offers. You may terminate email delivery via the “Unsubscribe” link in every dispatch.

6.2 SMS Emergency and Market Alerts

By providing your mobile phone number and opting in via a non-pre-ticked checkbox, you provide your prior express written consent under the Telephone Consumer Protection Act (TCPA) to receive recurring automated marketing and informational text messages, including messages sent via an Automatic Telephone Dialing System (ATDS), from Genius Energy. Opting in to SMS is not a prerequisite for purchasing any service or accessing standard content. Your consent is logged with a timestamp, IP address, and source URL.

6.3 Frequency, Rates & Carrier Disclaimer

Alert frequency fluctuates based on content schedules and energy events. Standard message and data rates may apply. T-Mobile and all other wireless carriers are not liable for delayed or undelivered messages.

6.4 Opt-Out & Non-Sharing

Reply STOP, QUIT, or UNSUBSCRIBE to cancel SMS alerts; reply HELP for support. SMS opt-in consent and data will not be shared with third parties.

7. Indemnification

You agree to indemnify, defend, and hold harmless Genius Energy, its parent company (Genius Marketing FZ), and its personnel from any legal actions, physical-injury claims, property-damage lawsuits, or financial penalties resulting from your violation of this Agreement, your violation of any law or third-party right, or your implementation of the strategies discussed in our materials.

8. Governing Law and Dispute Resolution

8.1 Jurisdictional Authority

The Publisher is incorporated in Dubai, United Arab Emirates. This Agreement is governed by the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. Our U.S. mailing address in Dover, Delaware, is a registered correspondence address only and does not alter the governing jurisdiction.

8.2 Exclusive Arbitration

Any dispute arising out of or related to this contract shall be resolved exclusively through binding arbitration administered in Dubai, UAE, conducted on an individual basis. Judgment on the award may be entered in any court of competent jurisdiction.

8.3 Class Action Waiver

You agree to resolve disputes solely on an individual basis and waive any right to join a class action, consolidated action, or class-wide arbitration against the Publisher.

8.4 Mandatory Consumer Rights Carve-Out

Nothing in this Section limits any rights you may have under the mandatory consumer-protection laws of your jurisdiction of residence. Where applicable law — including California law or EU member-state law — prohibits the application of foreign governing law, mandatory venue, or class-action waivers, those provisions shall not apply to you. TCPA claims by U.S. residents remain subject to U.S. federal law.

9. Amendments and Modifications

We reserve the right to amend these Terms at any time to adapt to evolving legal frameworks or operational requirements. Your continued use of our platform following the publication of revised Terms constitutes binding acceptance of the modifications.

10. Severability & Entire Agreement

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary and the remainder shall continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Publisher regarding the Services and supersede all prior agreements on the subject.
